Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between Zewst, Inc. (“Zewst,” “we”) and the business or individual (“you,” “Merchant”) that registers for, accesses, or uses ZewstPay. By creating an account or processing a transaction through ZewstPay you agree to these Terms.

1. Eligibility

ZewstPay is available to legal entities and individuals operating in the United States and Canada that pass Zewst's and our payment processor's KYB (know-your-business) and AML (anti-money-laundering) checks. We do not serve customers outside these countries at this time.

2. The service

ZewstPay provides an API and dashboard for accepting card payments, managing customers, issuing refunds, settling funds to bank accounts, and operating multi-tenant marketplaces. Underlying card processing is performed by our payment partner, Finix Payments.

3. Your obligations

  • Provide accurate, complete onboarding information and keep it current.
  • Comply with all applicable laws, card-network rules, and our Acceptable Use Policy.
  • Protect your API keys and account credentials. You are responsible for activity performed with them.
  • Maintain a clear refund / dispute policy that you publish to your customers.
  • Provide truthful product descriptions and deliver what you sell.

4. Fees

Processing fees, platform fees, chargeback fees, and any other charges are described in your Pricing Schedule or in-product Pricing settings. We may change fees with at least 30 days' prior notice; continued use of ZewstPay after the effective date constitutes acceptance.

5. Settlement

Funds from successful transactions, net of fees, refunds, chargebacks, and reserves, are deposited to the bank account you designate. Settlement timing depends on your risk profile and applicable hold periods. We may delay or withhold settlements to manage risk in accordance with our risk-management practices.

6. Reserves and risk

We may establish a reserve against your account when justified by chargeback rates, refund rates, processing volume changes, or other risk indicators. Reserve amounts and release schedules will be communicated in writing.

7. Disputes and chargebacks

Cardholders may dispute charges through their issuer. You are responsible for the disputed amount plus any chargeback fee. We will surface evidence-submission deadlines via the dashboard and webhooks; missing a deadline forfeits your right to contest.

8. Account suspension and termination

We may suspend or terminate your account for: violation of these Terms or our Acceptable Use Policy, suspected fraud, regulatory requirements, prolonged inactivity, or card-network mandate. We will provide reasonable notice where practical; for urgent risk situations notice may be given after the fact. Either party may terminate for convenience with 30 days' notice.

9. Intellectual property

Zewst owns the ZewstPay service, software, documentation, brand marks, and SDKs. We grant you a limited, non-exclusive, non-transferable license to use them solely for accepting payments through ZewstPay.

10. Confidentiality

Each party will protect the other's confidential information with the same care it protects its own (and no less than reasonable care). Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Warranties; disclaimer

ZewstPay is provided on an “as is” and “as available” basis. We disclaim all warranties to the maximum extent permitted by law including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, Zewst's aggregate liability arising out of or related to these Terms is limited to the greater of (a) the fees you paid to Zewst in the 12 months preceding the claim or (b) US$1,000. We are not liable for indirect, incidental, special, consequential, or punitive damages including lost profits or business interruption.

13. Indemnification

You will indemnify and hold Zewst harmless from claims arising out of your products or services, your breach of these Terms, or your violation of law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with venue in Delaware. You waive class-action participation. This section does not apply to small-claims actions or injunctive relief for intellectual-property infringement.

15. Changes

We may update these Terms. Material changes will be communicated via email or in-product banner; continued use after the effective date constitutes acceptance.
